Legal & Regulatory Notice
The basis on which we work with companies seeking investment funding, and with investors.
Our regulatory status
Intermediate Limited (trading as Intermediate Asia) is a company incorporated in Hong Kong (No. 76274695). It is not licensed, registered or authorised by the Securities and Futures Commission of Hong Kong, or by any other financial services regulator, in any jurisdiction.
None of our associates, consultants or affiliates is licensed, registered or authorised by any financial services regulator in connection with the work they do for us.
We do not hold ourselves out as being regulated, and we are not. If anyone representing Intermediate Limited suggests otherwise to you, please tell us at enquiries@intermediate.asia.
What we do
Where a company engages us in connection with its funding, our role is limited to introductions. We identify investors whose focus and mandate may fit the company, we tell them that the company exists and is seeking funding, we pass on information the company itself has prepared, and we put the company and the investor directly in contact with one another.
We introduce only investors who have confirmed to us in writing that they are professional, sophisticated, accredited or equivalently classified investors under the law of their own jurisdiction. We do not approach the general public, and we do not advertise or publicise any company’s fundraising.
What we do not do
Because we are not licensed, we do not, and will not:
- advise any person on the merits, suitability, risks, value or prospects of any investment;
- advise any company on the terms, structure, pricing, valuation or conduct of a fundraising;
- deal in, arrange deals in, underwrite, place or market securities or any other investment;
- make, or induce any person to enter into, any agreement to acquire or dispose of an investment;
- issue, distribute or approve any offering document, prospectus, information memorandum, term sheet or subscription document;
- communicate, discuss or negotiate any terms of any proposed investment, including valuation, price, amount, instrument or expected return;
- issue any invitation to the public to acquire securities, or engage in any general solicitation or advertising of a fundraising;
- receive, hold, control or direct any investor’s money, securities or other assets; or
- act for, advise or accept any fee from any investor.
Nothing here is an offer or an invitation
Nothing on this website, and nothing said or sent by us or by any of our associates, is or should be treated as an offer, invitation, inducement, solicitation or recommendation to acquire, dispose of or subscribe for any securities or to make any investment. No offer of any kind is made by us. If an offer is made at all, it is made by the company itself, directly.
We give no investment advice
We provide business affairs advice: commercial, contractual, structuring and partnership guidance. That is not investment advice and is not regulated as such.
We do not provide investment, financial, securities, corporate finance, legal, tax or accounting advice, and nothing we say or write should be relied on as any of those. We express no view on the merits of any company as an investment, and we will decline to do so if asked.
Information about companies
Any information we pass to an investor about a company has been prepared and supplied by that company. We do not prepare, edit, summarise, verify, audit, endorse or approve it. We make no representation or warranty as to its accuracy, completeness or fairness and accept no responsibility for it.
All discussion of a possible investment — further information, due diligence, documentation and negotiation — takes place directly between the company and the investor. We do not take part in it.
How we are paid
Where we introduce an investor to a company, we may be paid a fee by that company, and that fee may be calculated by reference to funding the company secures. We may share it with the associate who made the introduction. The fee is paid by the company, not by the investor.
We disclose this so that anyone dealing with us understands our interest, and it is a further reason to rely on your own advisers rather than on us.
Responsibilities of the companies we work with
Each company we work with is responsible for conducting its own know-your-client, anti-money-laundering, sanctions and source-of-funds checks on any prospective investor, for satisfying itself as to that investor’s status and bona fides, for the accuracy of all information it provides, for all offering and transaction documents, and for complying with the securities and offering laws of every jurisdiction in which a prospective investor is located. We do not perform those functions and no one should rely on us in relation to them.
Take your own advice
Anyone considering an investment is responsible for their own investigation and due diligence and for obtaining their own independent legal, tax, financial and investment advice. Investments in private and early-stage companies are illiquid, are typically not covered by any investor compensation scheme, may be difficult to value or to sell, and carry a risk of total loss.
No liability
To the fullest extent permitted by law, neither Intermediate Limited nor any of its directors, officers, employees or associates accepts any duty of care or any liability to any person in respect of any introduction, any information passed on, or any investment made or not made. Nothing here excludes any liability that cannot lawfully be excluded, including liability for fraud.
Governing law
This notice and any non-contractual obligation arising out of it are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have exclusive jurisdiction over any dispute arising from it.
